Facilitation / down payment receipt

Facilitation DP, deducted from selling price. Buyer signs the DoS at this payment. Vehicle sellers do not pay a Deed of Sale fee. Seller payout is the agreed price minus the class fee, subtracted once. Remaining pay when papers are ready. Refunded if the seller cannot complete them. Signed release: ODO is facilitator, not escrow.

This is ODO’s facilitation down payment. It is non-refundable. It is deducted from the agreed selling price — not added on top. It is not the purchase balance and not a government HPG/LTO fee. No HPG clearance, no full payment. The down payment is refunded to the buyer. HPG Motor Vehicle Clearance requires a closed notarized Deed of Sale. The buyer signs that Deed of Sale when they pay the down payment. The seller signs the same deed (buyer name filled). The seller must provide HPG clearance within 1 to 2 days of that down payment. If the seller cannot provide it, ODO does not call for full payment, the down payment is refunded to the buyer, and the seller pays damages equal to that class down payment. When clearance and the other papers are on file, ODO calls the buyer for full payment. The buyer then pays the remaining selling price in full, in person at the Tandoc office, within 3 to 5 days of that call. If the buyer does not pursue that payment after those documents including HPG clearance are provided, the down payment is forfeited in favor of ODO.

The class fee on a deal locks at the date and time the down payment is created. A down payment created during the promo keeps that promo fee for the receipt, the seller payout, and seller damages, even if the sale closes after the promo ends. Write the locked peso on this receipt. Seller payout is the agreed price minus that peso, subtracted once.

Release — ODO / Helium Marketing Corporation

This ₱ is facilitation, deducted from price — not escrow, not a government fee, not a title warranty. If the seller cannot produce HPG after DoS, this DP is refunded to the buyer and the seller pays ODO damages equal to that class DP. ODO stamps the deal. ODO does not hold the remaining purchase price.

I release and hold harmless ODO / Helium Marketing Corporation, its officers, staff, and the Tandoc desk from claims about: (1) vehicle condition, hidden defects, odometer, or fitness — units are as-is; (2) authenticity of OR/CR, ID, SPA, NAC, or DoS — that stays with the party who submitted them; (3) HPG or LTO results, delay, or refusal — those offices keep authority; (4) valuables left in a unit — ODO does not insure them; (5) loss or damage on the Helium Tandoc lot — ODO does not insure the unit. Secured 24/7 (CCTV + 24h Helium). That is site security, not cover; (6) accidents or damage during a hosted test drive caused by the driver, mechanic, or the unit — not by ODO staff acting in the course of ODO’s work; (7) dealing off-app or paying anyone except at this office. ODO is the facilitator, not the owner, not a commission broker, not escrow, not HPG, and not LTO. This release does not cover ODO’s own fraud, willful misconduct, or death or personal injury caused by ODO’s negligence. Statutory rights under the Philippine Consumer Act (RA 7394) that cannot be waived remain. If any liability remains, it is capped at the fees I paid ODO in the 12 months before the claim — same as ownerdirect.online/terms §5.
